1. Purpose and Scope
At Zarja Dynamic Solutions Ltd. (“Zarja,” “ZarjaIV,” “we,” “our,” or “us”), we design, engineer, and maintain proprietary digital systems that combine technology and artistry — including custom websites, e-commerce frameworks, POS integrations, automation platforms, media systems, and embedded devices such as ZII and ZIV.
This policy governs all intellectual property (“IP”) owned, licensed, or developed by Zarja. It applies to all clients, subcontractors, third-party developers, vendors, and collaborators engaging with Zarja’s work, code, or digital assets.
2. Ownership of Intellectual Property
Unless otherwise stated in a signed and dated written agreement, all proprietary work — including but not limited to source code, architecture, frameworks, algorithms, 3D/2D designs, UI/UX compositions, technical documentation, scripts, processes, firmware, and digital media systems — remains the exclusive and perpetual property of Zarja Dynamic Solutions Ltd.
All rights, titles, and interests in the following remain reserved to Zarja:

ZII and ZIV digital display systems and related firmware.

Custom POS software and multi-level e-commerce frameworks.

Proprietary website engines and automated synchronization scripts.

Custom time-clock, scheduling, and data management plugins.

Automation algorithms and proprietary system architectures.

All digital branding, visual motion assets, and audiovisual productions.
No ownership rights transfer to any client or third party unless explicitly granted in writing and signed by authorized Zarja representatives.
3. Licensing to Clients
Upon full payment and project completion, Zarja grants clients a non-exclusive, non-transferable, and limited-use licenseto operate the custom solution solely for its intended purpose and on the specific domain(s) or systems defined in the project agreement.
Under this license:

Clients may use and display the final output (e.g., website, video, or interface) for its intended function.

Clients may not copy, repackage, reverse-engineer, decompile, sublicense, or redistribute any Zarja proprietary code or system component.

Any attempt to extract, duplicate, or commercialize Zarja’s intellectual property outside the licensed scope constitutes infringement and immediate termination of the license.
Licenses are granted for operational use — not for resale, derivative development, or white-label replication.
4. Client Rights and Responsibilities
Clients maintain full ownership of their original materials supplied to Zarja, including:

Written content, imagery, logos, trademarks, and brand assets.

Product listings, orders, or customer data managed within their systems.

Text, media, or other editable front-end content within the website’s content management system (CMS).
All proprietary structural elements — including backend frameworks, plugins, APIs, synchronization logic, and automated systems — remain the intellectual property of Zarja.
Clients are responsible for maintaining the confidentiality of any code, credentials, or access keys provided.
5. Engagement of Third-Party Developers
Clients may engage third-party developers at their discretion. However:

Any developer working within Zarja-engineered systems must acknowledge and comply with this policy.

Unauthorized modification or redistribution of Zarja’s proprietary work will result in immediate revocation of the license and system access.

If Zarja’s proprietary frameworks are altered or replaced by external parties, Zarja is not responsible for resulting instability, data loss, or security issues.
Note: Unauthorized access, replication, or reverse-engineering of Zarja systems constitutes infringement and may result in civil or criminal prosecution under applicable intellectual property and cyber laws.
6. Modifications and Updates
All enhancements, expansions, or updates to Zarja systems — including websites, POS interfaces, media devices, or automation frameworks — must be performed by Zarja Dynamic Solutions or authorized affiliates.
Unauthorized modification may:

Void any warranty, maintenance, or update support.

Trigger automated license revocation embedded within proprietary frameworks.
Requests for modification or expansion will be reviewed and quoted by Zarja in writing prior to execution.
7. Infringement and Enforcement
Any duplication, redistribution, or commercial imitation of Zarja’s intellectual property — whether in code, process, design, or media — will be pursued to the fullest extent permitted by law.
This includes:

Filing of takedown notices under the Canadian Copyright Act, Digital Millennium Copyright Act (DMCA), and applicable international treaties.

Seeking injunctive relief, damages, and recovery of legal costs in civil court.

Permanent termination of any existing licenses or client agreements.
Zarja maintains active monitoring of its deployed systems for unauthorized replication or derivative use.
8. Policy Updates
Zarja reserves the right to modify or expand this Intellectual Property Policy at any time to reflect evolving laws, technologies, or business operations.
Substantial updates will be reflected on this page, and the revision date will be updated accordingly.
